ATTENDING THE MEETING ELECTRONICALLY VIA LUMI AGM TECHNOLOGY

The Meeting will be held by way of a hybrid meeting which means it is being held from a physical location in Sydney and also being held electronically using the Lumi AGM technology.
To ensure all Shareholders are able to attend the Meeting and are given a reasonable opportunity to participate in the Meeting, the Meeting is being held at a physical site and also electronically using the Lumi AGM technology which gives Shareholders access to join and participate in the meeting via webcast, submit questions to the Chairman in real time and directly vote at the Meeting using the voting technology.

Online Voting Procedures during the Meeting Shareholders who wish to participate in the Meeting online may do so:

a. From their computer, by entering the URL into their browser: https://web.lumiagm.com/364-701-410

b. From their mobile device by either entering the URL in their browser: https://web.lumiagm.com/364-701-410 Instructions on how to access and use the Lumi AGM technology are contained in Appendix C of this Notice.

If you choose to participate in the Meeting online, you can log in to the meeting by entering:

1. The meeting ID, which is – 364-701-410.

2. Your username, which is your Voting Access Code (VAC) which can be located on the first page of your proxy form or Notice of Meeting email; and

3. Your password, which is the postcode registered to your holding if you are an Australian Shareholder. Overseas Shareholders will need to enter the country of their registered address as it appears on a recent statement.

4. If you have been nominated as a third-party proxy, please contact Boardroom on 1300 737 760. Attending the meeting online enables Shareholders to view the Meeting live and to also ask questions and cast direct votes at the appropriate times whilst the Meeting is in progress.

Look lets just face it. Nobody is really going to be happy until we see an increase in the SP. I would suggest that nobody needs to whine or complain about the SP because fundamentally it is actually still over valued. People won't like to hear this, but sorry, $$$ speaks. There is still room in the SP for speculation IMO.

So what should the people do, AGM! listen in, go there find out what is going on, ask all the questions (respectfully) as much as you like. I personally can't go, but I'm not really worried or care about the SP. Sean put himself up and said judge his performance at the AGM. Even if we don't see a big revenue leap by the AGM, he will still be happy with his work. He will talk about the ecosystems that the company has built and the partnerships, that are so important. He will be pleased with his work. Many here won't like to hear this from him as all they want is "SHOW ME THE MONEY!!!!"

This too is understandable. I'm starting to get bored with all the partnerships and ecosystems talk. I'm spending very little time here as all the dot joining and possibilities are "whatever". We know we are a solution to many of the problems out there. We know it works, too many of the BIG end of town have basically joined us or working with us. I don't need any more companies big or small to convince me how good Brainchip is and what we have. I'm now just waiting for companies to use it. Until then, really the SP will go nowhere and revenue will be small (in comparison to our MC).

So in all, don't ask the 1000 eyes when the SP is going to go somewhere. Don't ask the 1000 eyes when the revenue is going to start pouring in. Because the 1000 eyes don't have insider trading eyes, they are just looking for possible AKIDA uses.

Whether you like this post or not is irrelevant. But I can tell you right now, I'm correct. The market now needs a big company like Mercedes to shout out (like Tony suggested) that they are using AKIDA (not imply) or we see a giant leap in revenue.

The only other way we'll see a rise or fall in the SP is though the manipulators, but I have no time for them. Good day all, I'll be listening into the AGM and my guess is we'll hear about how good our ecosystem has gotten over the last 12 months :)

So, .............. looks like the LDA arrangement has finished for now.
So, .............. BRN recieved the $12.232 mil for an allocation of 20.75 mil shares @ $0.58 per share.
So, .............. are we to think the LDA arrangement finished COB yesterday ? ............ probably not as the s/p has been alot lower for some time now.
Surely LDA will tuck those shares away until we see at least a 10% premium on their $0.58 ........... ? (0.67) ?
Considering not all the shares were allocated, to me indicates LDA arrangement was completed early Jan 23 considering the s/p decline and BRN had set the floor price at $0.58. ( gotta be happy with that considering the s/p now )
Keen to hear from others if im on the right track with my thinking. ( BTW closest to the pin "DB " )

Wish they would list the kpis for the rsu's....couldnt see on first glance but on my phone atm.

Interesting few weeks coming up anyway, hopefully we have seen or will soon see the bottom of the sp. I know this charts for mining but it also seems relevant for techs... hopefully we are at bottom after first hump. Yes i know i have 97 tabs open, i promise theres no porn....

6. RESOLUTION 1 – REMUNERATION REPORT

"In 2022, the Company adopted a pay for performance approach, including a Short-Term Incentive Program (STIP) which was introduced across the Company to provide an incentive for all staff as the Company transitions to commercialisation of Akida. The 2022 STIP was based on the achievement of Company and individual performance targets.
In the latter half of 2022, the Company’s Long Term Incentive Program (LTIP) was updated with the implementation of a three-year LTIP to incentivize executives through performance metrics focused on bookings and the conversion of bookings to revenue. It is considered that the LTIP equity instruments provide eligible participants with the opportunity to participate in the future growth of the Company, providing a competitive incentive as the Company transitions to commercialisation of Akida."

Thanks for posting that tech girl. I found that the best thing I’ve seen here in a long time. Listening to Sean talk about ecosystem, and his experience with it really reaffirms to me how they are building this to have as far a reach as possible.
While I would like some individual licenses to to have been signed to help prop the SP a little more, this huge pool of companies all experimenting and complimenting each other’s technology, and the talk of using different foundries and silicon prove outs to guarantee its versatility suggests to me that once everyone figures out how they can all best compliment each other and in which form brainchip will be everywhere. I hope the 1500 and Gen 2 prove outs over the next 4-5 months is what gets the snowball rolling. But who knows it might be longer.
Sean said Gen 2 on track to be availble 3rd quarter this year, ie July to Sept He then said maybe a little earlier.

And how much? $5 or $10 million ain't going to cut it.

We are going to need significant revenue to justify our current market cap, let alone grow the share price. Which is why there are some, myself included, that are disappointed by the lack of license sales to date.
If the company’s revenue this year turns out to be in the order of 10 million then it will have doubled from last year which doubled from the year before. Continued doubling of revenue I think would make most share holders happy in the longer term. Companies that continue to double in revenue will turn into eventual behemoths. Where we all start our journey as shareholders shouldn’t matter in the long run if we have the patience and faith in the direction being taken. AIMO of course.
