AVZ Discussion 2022

I'll trust those with greater knowledge on what's been going on and take this as positive news.
A case of been starving for so long that I can't tell if this is a gourmet cookie or just some stale shitty biscuit from grandma.

Not going to delve into speculation about the future or what may be as that's not helpful.

What I can't help but think at this stage is in regards to our multiple court cases.
The delays, non payment of fees are all due to our opposition knowing they have fuck all chance of winning. AVZ should and will pursue these cases and expose the corrupt actors on an international stage and recover all fines on said parties.

Just nice to finally have some hopium

The initial collateral backing anyway. We don't know what the security backing is going to have to be after this first tranche is completed. They'll probably have solid leverage to push for something onerous. But that's probably a year down the line, lots of time for positive developments or momentum in that period.
Maybe lets go back to NOV 28 2024...Now what can SH really beleive...!!!!YES NOV 2024
NIGEL changes like the weather ....!!!imo

• Locke and AVZ have agreed the terms and conditions for a litigation funding facility of up to US$15,000,000. •
"""""""""AVZ expects to drawdown a first tranche of funds during December 2024. • """"""""

The facility will provide funding for legal fees incurred by AVZ and its related entities, including expert fees, local law support, investigation costs, arbitration and court fees and related activities.

Brilliant news, but, I'll feel more comfortable when there's confirmation of the first $10m draw down... particularly if we've shot ourselves in the foot with Locke... or our chances of future Locke funding if needed with this transaction... although, I'm sure management would also be considering this too...

Happy new year fuckers

Yeah ok. Commiemanure can fuck right off.

A JV between AVZ and CATL to develop manono.

I've a question though. Comminierre as the partner and before they illegally sold part of the project to zijin had 24% of the project ?

They then sold 12% to zijin for approx $30 million? (Its been a long journey, can't recall exactly numbers)

Does this part of the announcement mean we've thrown the old JV out and replaced Cominière with CATL as a partner??

Essentially 30% for approx $260 million?
Or am I reading this wrong??

@cruiser51

I'd say CATL were just doing what they thought would get the lithium out of the ground and into their batteries the fastest.

I think we can all agree Cominière are corrupt as fuck and zijin are slave drivers.

I'd say CATL are just typical "corporate" businessmen. Definitely still dickheads, but businessmen all the same

Totally agree.

DRC as well as Cath have shown they cannot be trusted.
Just remember the way Cath voted in 2023 November with MMGA and what would have happened if they would have won that vote.
We would not be talking AVZ today and your money would have been gone.

As far as I see it, AVZ has funding to continue the fight.
That funding came at a price.

Until AVZ has the entire title back (and Zijin off the tenement), the ML and access to power from the hydro power station, the arbitration fight will have to continue.

Giving up arbitration now, because Pei started to talk business is insane.
Pei started to realize that there could well be a possibility that they could lose the lot, that is the only reason Pei wanted to talk.
The way the deal was struck really didn't cost Pei anything, just a couple of moves on the chess board.

The foot has to be kept on the throat and any wriggle has to be answered with an extra bit of weight on that foot, to make sure they understand.

Fukkum
Totally agree !

Did Cath grow a Conscience ? Probably Not !

Did Cath realise they were backing a Donkey ?

Probably !

Would Pei end up Shit Creek without a Paddle

Most likely !

I wonder if Mr. Pei put in a clause that Nigel has to call him Daddy from now on. It would be a deal breaker if I was Mr. Pei.

You mean part of the deal is Nigel and John have to give Pei sexual pleasures?

If I was Pei, I would be very careful and not get carried away too much, there could well be some payback when not expecting it.

Remember this back in 2021
Global law firm DLA Piper has advised AVZ Minerals Limited (AVZ) on securing a cornerstone investor, Suzhou CATH Energy Technologies (CATH), for the development of the Manono Lithium and Tin Project by entering into a transaction implementation agreement to earn a 24% joint venture interest in the Manono Project for USD240 million
Maybe that was DLA PIPER advise now 2025....imo..?????

@Hodlandwin69

I'll find out for certain next week, but I think, on balance, you're right about 30.5% of 'the project'. This would mean CATH will have ~40.6% of GLH, still leaving AVZI and AVZ with majority control at the Holding Company level

But the point is, DATHCOM still holds the 75%, with CATH having a 30.5% INDIRECT interest.

TBH, I think CATH is much more interested in the product, not so much how big a slice of the Pei (sic) they hold.

Fuck, they will even build phase 1 for us via a loan, rather than more equity, if AVZ doesn't want to bother with supra-national bank funding, with all the shit that carries with it

CATH will pay AVZ US$259.25m to acquire a 30.5% indirect interest in the
Manono Project, through the acquisition of shares in Green Lithium Holding

and the holder of legal title to AVZ's interest in Dathcom Mining SA (Dathcom)),
on satisfaction of certain conditions precedent, including grant of a mining

- AVZ and CATH will enter a multi-faceted joint venture to develop the Manono
Project;
Back in 2021 only 24 % for $240 mill """"""CATH DEAL """""

I think Zijin will still be in the game. It will be too hard for DRC to dig themselves out of that one without exposing themselves to legal action and angering the overlords.

Ever since the mica infested north comments in 2021 there's been indication from Nigel of the inevitability of giving something away.

The wording "grant of a mining
licence for the project area covered by PR 13359 (Mining Licence)" says to me that we/CATH only get the south - probably the extent of the resource drilling completed to date.

But we don't give up the north and Mpiana Mwanga for nothing so we use the ICC and ICSID wins to negotiate some kind of compensation, say a payout or a royalty on Zjin's production, and some kind of power supply agreement or free carried share of the power station.

🤔

Imagine the negotiating table

Nigel: can I bring you attention to clause 76.b paragraph 3 'Nigel must refer to Mr. Pei as Daddy moving forward'. Can we remove this?

Pei: Those are my terms

Nigel: *furiously signing contracts*
