Where in any statement above did I even mention commercialisation commenced six years ago, never even mentioned commercialisation. Seems someone has his own agenda another fluffier who does,nt want to face reality,oh my! Manny gues your another brainchip worker hiding here making misleading statements in defence of your boss.

I am in a similar boat except my buy price is .49c (still up the creek without a paddle) if this redomicile eventuates. I can’t see any positives in our current financial position anyway ? My plan is to set up a SMSF and transfer them into that, this way I shouldn’t be forced to sell at a loss and because they are currently under water there should be no CGT payable just a transfer fee I assume ? Have you considered this option, thoughts ?

I can’t see management batting an eye lid over loss of retail holder wealth unfortunately. The consolidation required, at this point, to even consider a move to the US you would have to think would destroy retail holders wealth. It would be a necessity to even make it possible to list on a US exchange. This one fact alone gives you an insight into the mindset of some of our current BOD

Like others have mentioned I think this Redomicile talk is a distraction tactic to shift focus from our obvious lack of commercial traction, so the freebies are approved and the hard questions are side stepped.
I’m all for a move to the US but in our current state we would first be diluted to oblivion and then because of our lack of revenue and huge operationslal spend crushed by aggressive shorting.

My opinion only…
Doing the same - Retail self manage to personal SMSF. However, you may discover that you can’t transfer because the trustee owns shares on your behalf. You simply have an interest in the shares. You will be required to place a sell order on your retail holding. Take a loss and for go the loss (as in you can’t carry it over to your SMSF). Roll your retail self managed into your personal SMSF then buy the shares at the lower cost base. Negative is- lower cost base could equate to more tax on any gain and no loss to offset. Positive is - you have skin back in the game and total control including ability to vote.

Oh really, I hadn’t fully explored the technicalities as yet to be honest. So either way we have to solidify the actual loss and no share transfer is possible, that’s a proper kick in the guts if it eventuates…

Yep. Not happy. Should have done personal SMSF years ago. Could have done some trades without the 20% limitation. That limitation really held me back over the years.

The other negative of this process or positive, depends how the dice rolls. Going to be out of the market for a week or so whilst the sell, rollover and buy back occurs. Hoping like crazy the price drops after the sell. Worse case we get an announcement and the price rockets whilst I’m out. That scares me.

Hi Manny,
Why do you think the BOD needed to mention the possibility of redomiciling so far in advance?
I mean, we aren't exactly excelling in bringing in meaningful revenue or capturing any major leads or licences ATM, so why do you think they needed to bring up the possibility of redomiciling before the AGM?
It's not as though we were all required to vote for it at this AGM, was it?
I just don't understand why they announced it when they did.
Why didn't they wait until there was more positive news to report (i.e. like new licenses being signed etc?), in which case the announcement would have elicited a much more positive response from shareholders????
IMO .... purely a diversionary tactic to distract shareholders who will be attending at the AGM from asking questions about the actual current and relevant issues concerning the BOD and CEO ongoing lack of IP Agreements and Revenue Streams from being generated.

Yeah, but, but, they have so many more bookings though. Bookings, as in meetings with external people.
So we need to pay them bonuses otherwise they might leave us 😕

Maybe best case scenario is a u.s. buyer is lurking in the background, offers the Company 15 billion of dollars (made up figure of course) and they say, right now Brainchip you need to buy back all the australian shares at ($6.27 AUD, the price that you quoted @jrp173 ) and then float it all on the u.s. market under our subsidiary name.

That's all the Australian shareholders have been bought out at the u.s. float price, done and dusted.
Well to me this would be a win win for us shareholders and a win win for the company to move smoothly to u.s.

Then we can all buy the u.s. shares as we wish.

Well I am hoping that my theory is actually reality. And I'm not dreaming, I'm wide awake at work number crunching lol

I'd take the money and run!

Once again Steve was excellent, explained things very clearly and is obviously well up to speed with what our company is
working on, which to me indicates great communication, exactly the skills a marketing manager MUST possess.

If we lose Steve as a staff member I will be pretty pissed, the knowledge that vets have in this industry is worth many
younger staff combined in the early years as they get up to speed in my opinion.

As far as a diversionary tactic is concerned with the re domicile to the US, just don't engage with the BOD at the AGM until
after the meeting, then pump them with questions if you feel that not enough runway has been shared.

Remember, in real terms, we're talking early 2026 (8months off) including ALL the hurdles prior, I still have the feeling a
major company may have posed the question to the CEO/BOD about the future prospects of us positioning ourselves
if the right business opportunity presented itself and being positioned in the US could well streamline that forward process.

Just my two bobs worth, the conversations are really very premature, we hold the cards really with our vote, don't we?

Not sure because the first question i would ask is how they could redomicile without deals and revenue being secured, so what revenue streams do you see being generated in the next 12 months? If they can't answer that then what is the point. Maybe they want to move to US to get away from Australian retail investors. That's us. Most companies use retail mum and dad investors to bleed dry, then move to sophisticated investors and funds etc. Maybe I'm starting to get cranky. Must be getting old.

Just a guess but I think the move is part of a "course correct" move by the BoD. There a signs that we are moving away from an IP only model and possibly going back to the idea of producing chips. As well as partnering with other companys in joint ventures. Joining some dots, I think the technology road map before the AGM will show a need for a much higher level of capital that can be obtained from the ASX. Hence the move to the US.
Yes, I believe there will be a very large CR if we move. Bad for dilution of current shareholders, maybe necessary for the company to thrive.

Judging by what happened to edge AI chip startup Blaize after it listed on NASDAQ via a merger with the SPAC BurTech in January 2025, my vote on redomiciling would be an unequivocal "no".

That is, unless a number of key licenses were suddenly signed, large amounts of revenue started appearing out of nowhere, or a well-known cornerstone investor, like Arm, stepped in to back us. Otherwise, it would be a resounding "no" from me.

To put it into perspective, at the time of the merger, Blaize was valued at an implied enterprise value of approximately $894 million, with shares priced at $10.00 each. However, by April 2025, the share price had declined to around $2.51, representing a loss of nearly 75% from the initial listing price.

The anticipated benefits of going public did not materialize for Blaize as expected and consequently the shareholders who invested at the time of the listing have faced significant losses.

Given how we are tracking currently, pursuing a similar path would be nothing short of self-sabotage IMO.
