Good afternoon back in Australia,

Yes, I'm still in the Far North of New Zealand until early August and are looking forward to coming home to Perth, it's been a tough trip this time, but I'm still alive thank God! .... there are some evil people in this world who love hiding in the dark, wearing balaclavas, hoodies, carrying a hammer and think it's ok to batch a senior citizen, but the universe has its own way of balancing the ledger, black will always be black, dark will always be dark, may the light shine down on all the evil in this world and expose them for what they are, gutless, weak cowards.

Sorry, I'm off topic, I just wanted to say that I still think that our company has and is still making very good progress, despite clear evidence that revenue is about to start flowing into our accounts, the long termers must see the progress we have made, the writing is on the wall, time has always been our enemy, yes it's been and still seems like an eternity, but we are still moving forward.

Name another company who has "really succeeded at the edge"...........not ONE!!!

Some bugger stole my rear number plate which I discovered late on Thursday and I was feeling hard done by, but your news puts my inconvenience into perspective. Shit happens sometimes and we just need to shake it off I guess. Was hoping BrainChip would drop some significant news before the AGM to soften any backlash regarding the proposed redomicile. Still have this week I suppose and at least have had a small uptick in the share price. God knows what madness the orange idiot may yet unleash to further destabilise the markets but it certainly aint boring.🤣

There is no share coming back on market, those were all sold out shares. Google the conditions mentioned, it does not say they have to hold onto shares even for a single second.

The company made sure that whoever received the new shares agreed not to sell them in a way that would break the Corporations Act within the first 12 months.

Basically, the shares can’t just be dumped on the market right away unless they comply with the law (usually meaning they can’t be sold at all without a special disclosure or exception).

After 12 months, they can be sold freely (unless new restrictions are added).

It's the shareholders who decided.

The are two votes that need to be passed for this to go through.

“headcount” test – a simple majority (50% plus one) of registered shareholders plus
“voted shares” test – 75% of votes cast on resolution (one vote per share so 75% of the share voting on the resolution)

I don't believe there is any chance of this going through right now, due to our share price.

The consolidation would be too high (around 25:1) at the minute.

The company will need a very big carrot to entice shareholders to vote for this (and a big increase in share price)

I've been following the James Hardie saga over the last few weeks and I'd say the job of BRN management successfully proceeding with re-domiciling without the overwhelming support of shareholders is now almost impossible. There has been such a backlash against JH being given a free pass by the ASX to proceed with a US takeover and re-domiciling that BRN management will have make a VERY compelling case to all shareholders to get their proposal over the line. My opinion only.

Also, I agree with what Toasty just posted, something big must be in the pipeline, because I still strongly believe
that it's way too early to be moving to the US........selling this idea to the masses will be just as hard as selling Studio was!!
